1. Engagement & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "you") and Link Prismcore Consulting Ltd. ("Link Prismcore", "we", "us", "our"), registered in Sanchong District, New Taipei City, Taiwan.

By accessing our website (link-prismcore.click), commissioning technical writing or documentation consulting services, or executing a Statement of Work (SOW), you agree to be bound by these Terms and our associated policies.

2. Consulting Scope & Deliverables

Link Prismcore provides professional programming and technical documentation consulting services, including codebase architecture audits, Architectural Decision Record (ADR) system design, API reference engineering, and developer onboarding runbooks.

Specific project scopes, milestones, delivery timelines, and compensation structures are detailed in individual Statements of Work executed between Link Prismcore and the Client. In the event of any conflict between these general Terms and an executed SOW, the specific provisions of the SOW shall prevail.

3. Intellectual Property Rights

Client Code & Proprietary Materials: The Client retains sole and exclusive ownership of all proprietary software, source code, repository assets, and confidential technical data provided to Link Prismcore during the engagement.

Engagement Deliverables: Upon receipt of full and final payment for the designated milestone or engagement, Link Prismcore assigns to the Client all copyright, title, and ownership rights in the custom documentation artifacts, architectural blueprints, runbooks, and schema files authored specifically for the Client under the applicable SOW.

Pre-Existing Methodologies: Link Prismcore retains all ownership of its pre-existing general frameworks, templates, audit rubrics, and internal authoring tooling utilized in delivering the services.

4. Confidentiality & Non-Disclosure

We treat all client codebases, internal architectures, system topologies, and trade secrets with the highest level of professional confidentiality. We access client repositories solely for the purpose of executing contracted documentation services under strict access controls. We do not retain, copy, or redistribute client source code following engagement sign-off.

5. Client Responsibilities

Successful execution of documentation consulting requires timely client collaboration, including:

Granting timely repository read access and necessary testing environment credentials.
Designating an engineering lead or technical point of contact for scheduled discovery interviews.
Reviewing and providing structured feedback on milestone deliverables within the agreed review window (typically 5 to 10 business days).

6. Limitation of Liability

To the maximum extent permitted under applicable law, Link Prismcore shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services or website.

Our total aggregate liability under any claim arising out of an engagement shall not exceed the total fees paid by the Client to Link Prismcore under the specific Statement of Work giving rise to the claim.

7. Governing Law & Jurisdiction

These Terms and all consulting agreements shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Taiwan New Taipei District Court.
